A VA services agreement sets task scope, communication expectations, and confidentiality terms before you get access to a client's inbox, calendars, or business accounts — it protects you from unbounded scope creep and protects the client's sensitive information.

Scope of services

List the specific recurring tasks covered (inbox management, scheduling, data entry, customer support, etc.) and state that new task categories outside this list require a scope amendment and rate discussion before starting.

Hours and availability

Specify whether billing is hourly (with a cap or approval process for overtime) or a monthly retainer for a fixed number of hours, plus your working hours/timezone and expected response time for messages.

Confidentiality and account access

Include a confidentiality clause covering any account credentials, client lists, financial information, or business strategy you're given access to, and require the client to revoke access promptly at termination.

Fee structure and payment terms

State your hourly or retainer rate, billing cycle (weekly or monthly), accepted payment methods, and late-payment policy — most retainers are billed in advance of the work month.

Tools and equipment

Clarify who provides software licenses/subscriptions needed for the work (client's existing tools vs. your own subscriptions billed as an expense) to avoid disputes over unreimbursed costs.

Term and termination

Define the engagement length (month-to-month is standard for VA work) and the notice period either party needs to give to end the relationship.
